I shall deliver the finished product in the manner specified
by a representative of Globe IQ LLP at the beginning of
the specific assignment. A representative of Globe IQ LLP
must approve at a draft stage, final stage and upon receipt
of all work on CD before an invoice can be settled.
I agree to Globe IQ’s 30 days payment terms on receipt
and approval of work.
Unless otherwise specified by a representative of Globe
IQ LLP property of the
Deliverable form of the design shall pass to Globe IQ LLP
upon physical delivery and invoice payment.
I will keep private and confidential the existence and
contents of all work I engage in for Globe IQ LLP and hold
in strict confidence any information about Globe IQ LLP
supplied whether verbally or in writing to you or any of
your advisors.
I will not disclose in whole or in part any of such information
or any other information, which you may have relating to
Globe IQ to any person, or use such information for any
purpose other than yours and your advisors.
I shall indemnify GIQ in full against all liability, loss,
damages, costs and expenses (including legal expenses) awarded
against or incurred or paid by GIQ as a result of or in
connection with: any claim that the work infringe, or their
importation, use or resale, infringes, the patent, copyright,
design right, trade mark or other intellectual property
rights of any other person, except to the extent that the
claim arises from compliance with any direct specification
supplied by GIQ.
English Law shall govern this agreement. All disputes arising
from or in connection with this agreement shall be subject
to the non-exclusive jurisdiction of the English Courts.
If any term of this agreement is held to be illegal or unenforceable
the validity and enforceability of the remainder shall continue
in full force and effect. The provision in question shall
be replaced by a valid and enforceable term, which corresponds,
so far as possible, with the original. Failure by either
party to exercise any right or remedy under this agreement
does not constitute a waiver of that right or remedy. All
disclaimers, indemnities and exclusions in this agreement
shall survive termination of this agreement. Neither you
nor Globe IQ LLP shall be held liable for any loss or failure
to perform any obligation hereunder due to causes beyond
your or their respective reasonable control.
